- A registered company with a BRN, two years of accounts, turnover from Rs 12M and staff on payroll.
- Accounting, corporate services, consulting, engineering advisory or agency work billed to clients.
- Recurring client relationships and qualified staff that remain when the founder steps back.
What does not belong here
A practice that is one licensed professional and a laptop, with no payroll and no accounts. It may be an excellent business; it does not clear these criteria.
What to ask beyond the admission check
- Any licence the firm holds, the regulator behind it, and whether it survives a change of shareholder.
- Client concentration and average tenure, plus how much of the book follows the founder personally.
- Fee recurrence: retainers versus one-off engagements, and write-offs on billed time.
- Professional indemnity cover and any claim history.
